To consider appointments to outside bodies.

RECOMMENDATIONS
The Governance Committee is recommended to:
1)
Appoint an
officer or Member to serve as a Director on the East Sussex Energy,
Infrastructure and Development Ltd (trading as
‘Sea Change
Sussex’) Board; and 2) Appoint an officer or Member to serve as a Director on the Hastings and Bexhill Renaissance Ltd Board.

1. Supporting Information
1.1 The County Council is invited to appoint Members or Officers to serve on a wide range of outside bodies whose role has a relationship to a function of the County Council. The appointments are a vital part of the County Council’s working in partnership with voluntary bodies, statutory agencies and the public and private sectors.
1.2 East Sussex Energy Infrastructure and Development Ltd (ESEID Ltd) trading as ‘Sea Change Sussex’ is a not-for-profit economic development company delivering capital infrastructure schemes in the County.
1.3 East Sussex County Council (with others including Rother District Council and Hastings Borough Council) is a member of Sea Change Sussex. The Council is entitled to appoint a Director to the Board of Directors for Sea Change Sussex. As Sea Change Sussex is a company limited by guarantee without share capital, its members do not hold shares but have a percentage voting right in decision-making by members of the company.
1.4 The Articles of Association of Sea Change Sussex set out that a Director must be a director, elected representative, officer or full time employee of a Member of the relevant appointing class.
1.5 Hastings and Bexhill Renaissance Ltd (HBRL) trading as ‘Sea Space’ is a not-for-profit economic development company delivering capital infrastructure schemes in the County.
1.6 East Sussex County Council (with others including Rother District Council and Hastings Borough Council) is a member of HBRL. The Council is entitled to appoint a Director to the Board of Directors for HBRL. As the company is limited by guarantee without share capital, its members do not hold shares but have a percentage voting right in decision-making by members of the company.
1.7 The Articles of Association of HBRL set out that a Director must be a director, elected representative, officer or full time employee of a Member of the relevant appointing class.
2. Recommendation
2.1 The Committee is asked to appoint an officer or Member to serve on the Sussex Sea Change Board, and to appoint an officer or Member to serve on the HBRL Board, with immediate effect.
